This AdGem Player Agreement (the “Agreement”) is between AdGem, LLC (“AdGem,” “we,” “us,” or “our”) and you as an individual user (“Player,” “you,” or “your”). This Agreement governs your access to and use of the AdGem Offer Wall, including all related content, offers, and player support services.
PLEASE READ THIS AGREEMENT CAREFULLY. By accessing or using the Offer Wall, you agree to be legally bound by these terms.
AdGem provides a promotional advertising platform (the “Offer Wall”) that enables Players to engage with third-party advertisers (“Advertisers”) through mobile applications or games operated by third-party publishers (“Publishers”).
Offers made available on the Offer Wall (“Offers”) are created and provided by Advertisers and/or Publishers, not AdGem.
AdGem acts solely as an intermediary technology platform and does not create, control, or operate Offers, rewards, or Publisher applications.
To use the Offer Wall, you must:

Failure to meet eligibility requirements will result in disqualification from receiving rewards.
Rewards associated with Offers are determined, administered, and fulfilled solely by the applicable Publisher.
AdGem:

Completion of an Offer does not guarantee that a reward will be issued.

The Offer Wall relies on device-level and event-based tracking technologies to determine Offer completion and reward eligibility.

All responsibility for such rewards lies with the Publisher.
AdGem may provide Player Support Services to assist with Offer-related issues. However:

Failure to cooperate or provide sufficient evidence may result in closure of your request.
AdGem reserves the right to deny or close support requests at its sole discretion.
Offers are provided by third-party Advertisers and Publishers.
Your participation may be subject to additional terms imposed by those third parties. AdGem is not responsible for:
You are solely responsible for any taxes, reporting obligations, or governmental fees associated with rewards, including rewards with real-world or monetary value.
AdGem does not provide tax advice.
AdGem may suspend or terminate your access to the Offer Wall at any time for:
To the maximum extent permitted by law, AdGem shall not be liable for:

The Offer Wall is intended to comply with Apple App Store and Google Play policies.
AdGem may modify this Agreement at any time. Continued use of the Offer Wall constitutes acceptance of any updated terms.
This Agreement is governed by the laws of the State of Colorado.
By accessing or using the Offer Wall, you acknowledge that you have read, understood, and agree to this Agreement.
